Legal terms and conditions for using the EARLY platform.

1. Introduction & Acceptance
Welcome to Early, a permissionless crypto token launchpad protocol available at early.cash. These Terms of Service ("Terms") are a legally binding agreement between you (referred to as "you" or "your") and Early (referred to as "Early", "we", "us", or "our"). By accessing or using Early in any way, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are using Early on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and in that case "you" includes that organization as well.
Please read these Terms carefully. They explain what Early is, the risks involved in using it, and important limitations of our liability. If you do not agree with any part of these Terms, you should not use the Early platform.
2. About Early
Early is a decentralized, non-custodial protocol that allows anyone to launch a fair token presale to bootstrap liquidity for a new cryptocurrency token. In other words, Early provides a platform where project creators can offer a pre-release sale to early supporters, and those supporters can contribute funds to help start the project. The protocol is designed to be open and permissionless – there is no selection or gatekeeping by Early on who can create a presale or what token can be launched.
Some key characteristics of Early include:

Permissionless: Early can be used by anyone without prior approval. We do not curate or vet token projects – all launches are initiated by users directly through the protocol.

Fair Launch Presales: Every token sale on Early is meant to be a fair launch, giving all participants equal opportunity to buy in at the initial offering. There are no insider or privileged allocations managed by Early.

Non-Custodial: Early never takes possession of your funds or tokens. All transactions (contributing to a presale, receiving tokens, etc.) are executed directly via smart contracts on the blockchain, where you retain control of your assets.

No Intermediary or Broker: Early is a set of smart contracts and a user interface. We are not a broker, dealer, or intermediary in your token transactions. The platform simply facilitates direct interaction between project creators and participants.

No KYC Verification: Early does not conduct Know-Your-Customer (KYC) checks. You can use the platform without providing personal identification. However, you are still responsible for using Early in compliance with applicable laws (see Section 4 below).
Early empowers community-driven token launches, but it does not control or manage the projects launched. It's important to understand that using Early is at your own risk – the success or failure of any token project lies with its creators and the market, not with Early.
3. User Projects and Tokens
All token sales and projects on Early are created and run by third-party users ("project creators"), not by Early itself. Early does not create, own, or endorse any token or project launched using our protocol. We do not investigate or vet the quality, legitimacy, or legality of any project. The presence of a token sale on Early does not mean we approve or recommend it.
Please keep in mind:

No Endorsement: Early providing the platform for a token sale does not mean we back the project. We make no promises about the viability, honesty, or quality of any token or team.

Third-Party Information: Any information about a token project (such as whitepapers, roadmaps, or claims about future value) is provided by the project creators, not by Early. We are not responsible for the accuracy or completeness of that information.

Do Your Own Research: Before contributing to a presale or buying a token, you should research the project thoroughly and make your own judgment. Investing in new tokens is highly risky, and you could lose all the funds you contribute.

No Liability for Projects: Early is not responsible for any losses or problems arising from your interactions with a token project. For example, if a project creator does not deliver on their promises or if a token loses value, that is between you and the project team – Early will not refund your contributions or compensate your losses.

No Dispute Involvement: Because Early is not a party to token sales (we only provide the technical platform), we will not mediate disputes between project creators and participants. All agreements and transactions happen directly between those parties via the smart contracts.

Creator Responsibility: If you launch a token or presale using Early, you are solely responsible for that project and its compliance with all laws (including any securities, commodities, or tax laws). Early does not manage your project or assume any obligations on your behalf.
4. Eligibility and Legal Compliance
When using Early, you must meet the following requirements and agree to these conditions:

Minimum Age: You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of forming a binding contract. Early is not intended for use by minors.

Not Barred by Law: You are not currently prohibited from using blockchain or cryptocurrency services under any laws that apply to you. It is your responsibility to ensure that using Early is legal where you live.

Sanctions and Restricted Regions: You are not located in, under the control of, or a citizen/resident of any country or region that is subject to comprehensive economic sanctions. For example, you may NOT use Early if you are in or from countries such as North Korea, Iran, Cuba, or any other region embargoed by the United States, European Union, United Kingdom, or United Nations. Similarly, you may not use Early if you are on any government list of prohibited or restricted parties (such as the U.S. Treasury Department's Specially Designated Nationals list).

No Circumvention: You agree not to use tools like VPNs or proxies to bypass geographic restrictions or other measures we put in place to comply with sanctions or legal requirements. If our interface is not available in your region, you must not attempt to access it by tricking or circumventing our controls.

Compliance with Laws: You are solely responsible for complying with all laws and regulations that apply to your use of Early. This includes, for example, any tax reporting obligations you have, or securities laws if you are offering or purchasing tokens. Early does not provide legal advice, and we make no representations that the platform is appropriate or available in any particular jurisdiction. You must ensure you follow all applicable laws when using Early.
5. Access and Use of the Platform
Early is a public web-based interface to a set of blockchain smart contracts. We strive to keep the platform available and secure, but we do not guarantee that access will always be possible or uninterrupted. From time to time, Early's website or services may be down for maintenance, upgrades, or due to technical issues. We are not liable for any losses you may suffer if you cannot access Early, or if your transactions are delayed or fail to execute.
We reserve the right to limit, suspend, or terminate your access to Early at any time if we believe you are violating these Terms or if required by law. For example, if we suspect that you are using Early from a prohibited jurisdiction (see Section 4 above) or engaging in illegal activities, we may restrict your access without notice. You have no guaranteed right to use Early, and we may block certain users, wallets, or IP addresses at our sole discretion to comply with legal obligations or to protect the integrity of the platform.
User Security: When you use Early, you interact with the platform using your own cryptocurrency wallet (for example, a browser wallet extension or mobile wallet app). It is your responsibility to maintain the security of your wallet credentials (seed phrases, private keys, passwords). Early will never ask for your private keys and never takes custody of your assets. If you lose access to your wallet or your credentials are compromised, we cannot recover your funds or tokens. Always use Early in a secure environment and double-check all transaction details in your wallet before confirming.
6. Prohibited Activities
We want Early to be safe and open for all users. By using Early, you agree that you will not engage in any of the following activities on or in connection with the platform:

Illegal Activities: Using Early for any unlawful purpose, or to further any illegal activity. This includes activities like money laundering, terrorist financing, sanctions evasion, or violating any financial regulations.

Violating Others' Rights: Uploading or transmitting any content that infringes on another's intellectual property rights or privacy rights, or otherwise violating any third-party rights.

Platform Abuse: Attempting to interfere with the normal operation of Early or its underlying smart contracts. For example, you must not introduce viruses, malware, or any harmful code, perform denial-of-service attacks, or otherwise try to disrupt our website or the underlying blockchain network.

Unauthorized Access: Trying to gain unauthorized access to any part of our platform infrastructure or another user's wallet. You should not attempt to bypass or disable any security measures, or probe the vulnerability of our systems.

Reverse Engineering: Disassembling, decompiling, or reverse engineering any aspect of Early's software or smart contracts, except to the extent such activity is expressly permitted by applicable law or open-source licenses.

Fraud and Deception: Engaging in any behavior meant to defraud Early or other users. This includes providing false, misleading, or deceptive information to us or to other participants on the platform in an attempt to gain an unfair or unlawful advantage.

Market Manipulation: If Early facilitates token trading or sales, you must not engage in manipulative practices such as spoofing, wash trading, pump-and-dump schemes, or any other actions that distort or interfere with the normal market function of any token.

Circumventing Restrictions: Using any technique to circumvent these Terms or any restrictions we place on the platform. For instance, do not use a VPN or proxy to access Early if you are not allowed to use it (as per Section 4 above), and do not disguise your location or identity to get around our policies.
Any attempt to do any of the above is also prohibited. If you engage in any of these activities, we may take action including suspending your access to Early and, if necessary, reporting the incident to law enforcement or relevant authorities.
7. Assumption of Risk
By using Early, you understand and agree that there are inherent risks associated with blockchain and cryptocurrency technology. You assume all of these risks voluntarily. Some of the risks include, but are not limited to:

Volatility: The value of cryptocurrencies and tokens is highly volatile. Any token you buy or sell through Early could drastically increase or decrease in value over short periods. You might lose some or all of your funds, so you should only invest what you can afford to lose.

Blockchain Network Issues: Transactions on Early rely on underlying blockchain networks. These networks might become slow, congested, or experience technical failures. Transactions you initiate might not be confirmed immediately, or could fail altogether, due to network problems. Also, once a transaction is executed on the blockchain, it usually cannot be reversed or undone.

Smart Contract Vulnerabilities: Early's protocol consists of smart contracts. All software can have bugs or vulnerabilities, and smart contracts are no exception. There is a risk that the Early smart contracts or the token contracts you interact with could be exploited or malfunction, potentially causing loss of funds or tokens. Early has no ability to reverse or undo any blockchain transaction – what happens on the blockchain is permanent.

User Error: Using cryptocurrency applications requires some technical knowledge. If you make a mistake (for example, sending funds to the wrong address or losing your wallet's private key), Early cannot assist you. There is no "undo" button for blockchain transactions. You are responsible for using the platform carefully and double-checking your actions.

Regulatory Uncertainty: Laws and regulations surrounding cryptocurrency, token sales, and digital assets are evolving and may be unclear in many jurisdictions. It's possible that your use of Early or certain token sales could later be deemed to violate new or existing laws (for example, securities or tax regulations). You are responsible for understanding the legal implications of your actions on Early and accept any consequences if laws or regulations change.
In summary, you agree that you understand these risks and take full responsibility for any outcomes (including financial losses or legal consequences) that may occur when using Early. Early will not be liable for risks inherent to the blockchain ecosystem that are outside of our control.
8. No Advice and No Fiduciary Duty
Early is a technology platform, and we do not provide investment advice, financial advice, or any personalized recommendations to users. Any content or information available through Early (for example, project descriptions, blog posts, community discussions, or social media posts) is for general informational purposes only. You should not take any such information as advice or a recommendation to buy, sell, or participate in any token or project. Always do your own research and consider consulting with a qualified financial advisor or other professional before making investment decisions.
By using Early, you acknowledge that no fiduciary relationship or any other special relationship is created between you and us. We are not your broker, agent, or advisor. We have no duty to provide you with investment advice or to act in your best interest. Any decisions you make using Early are made by you based on your own assessment, and you alone are responsible for the outcomes of those decisions.
9. Disclaimer of Warranties
Early is provided "as is" and "as available". We make no warranties or guarantees of any kind about the platform. To the maximum extent permitted by law, Early disclaims all warranties, whether express, implied, or statutory, regarding the platform and your use of it.
For example:

We do not promise that Early will be available at all times, or that it will be uninterrupted, timely, secure, or free of errors, bugs, or vulnerabilities. You use Early at your own risk.

We disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In plain terms, we make no guarantee that Early will meet your specific needs or expectations, or that it won't infringe on someone else's rights.

We do not warrant that any data or information provided on Early (such as token prices, project details, or other content) is accurate, complete, or up-to-date. Much of this information may come from third-party sources or the project creators themselves, and it could be wrong or misleading.

No advice or information (whether oral or written) obtained by you from Early or through any content on Early creates any warranty not expressly stated in these Terms.
Note: Some jurisdictions do not allow the exclusion of certain warranties. If you are in such a jurisdiction, certain disclaimers above may not fully apply to you. In that case, our warranties are disclaimed to the fullest extent permitted by the laws of your jurisdiction.
10. Limitation of Liability
Under no circumstances will Early or its contributors, team members, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Early platform. This includes, for example, any loss of profits, loss of data, loss of cryptocurrency or tokens, business interruption, or damage to reputation or goodwill, even if we have been advised of the possibility of such damages.
In addition, Early's total liability to you for any claim arising from or related to your use of the platform is limited to the amount you paid to Early in platform fees (if any) in the 12 months immediately preceding the event giving rise to the claim, or USD $100, whichever is lower. If you have not paid any fees to Early, then we have no financial liability to you whatsoever.
This limitation of liability applies to the fullest extent permitted by law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. However, in any case, our liability is limited to the greatest extent allowed by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Early and our officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) that arise out of or relate to (a) your use or misuse of the Early platform, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) your infringement or violation of any rights of another person or entity.
In plain language, this means if a third party (or a government agency) makes a claim against Early because of something you did, for example, if you launch a token that infringes someone's copyright, or you use Early in a fraudulent or illegal way, then you are responsible for any costs or damages we incur as a result of your actions. You would have to cover our losses and legal fees.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. Your indemnification obligations will survive the termination of these Terms and your use of Early.
12. Changes to Terms and Termination
Changes to Terms: Early may update or amend these Terms from time to time. If we make material changes, we will post the revised Terms on our website and update the "Last Updated" date at the top. Changes are effective immediately upon posting the updated Terms (unless a later effective date is specified). It is your responsibility to review the Terms periodically. By continuing to use Early after new Terms are posted, you agree to the revised Terms. If you do not agree with any changes, you must stop using Early.
Platform Changes: We are constantly improving and evolving Early. We may add, modify, or remove features or functionality of the platform at any time, without prior notice. We also reserve the right to discontinue or shut down the Early platform entirely at our discretion. If we decide to discontinue the platform, we will make an effort to inform users in advance via the website or other communication channels, but we are not obligated to do so.
Termination: You are free to stop using Early at any time. Likewise, we reserve the right to terminate or suspend your access to Early (or certain features of Early) at any time for any reason, including if you violate these Terms or if we are required to do so for legal reasons. In the event your access is terminated, sections of these Terms that by their nature should continue to apply (such as disclaimers, limitation of liability, indemnity, and dispute resolution) will survive termination and remain in effect.
13. Governing Law and Dispute Resolution
Governing Law: These Terms and any dispute arising out of or relating to these Terms or your use of Early will be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles, unless otherwise required by a specific mandatory law (for example, local consumer protection laws).
Arbitration Agreement: You and Early agree that any dispute, claim, or controversy between us arising out of or relating to your use of Early or these Terms will be resolved through binding arbitration on an individual, confidential basis. This means that you and Early are each waiving the right to a trial by jury and waiving the ability to participate in a class or collective action (either as a participant or class member) in relation to such disputes.

Arbitration Procedure: The arbitration will be conducted by a neutral arbitrator in the United States (or another location we both agree on), in the English language. The arbitration shall be administered by a reputable arbitration organization. For example, if in the United States, the arbitration may be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. If AAA is not available or the parties agree otherwise, they may select a different arbitration provider or mutually acceptable rules. The arbitrator will have the authority to grant any relief that a court could, but may not order consolidation or class arbitration given the next point.

Individual Claims Only: You and Early each agree to bring any dispute only in your or our individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator shall not have authority to hear or resolve any class or collective claims or provide relief to anyone other than the individual party in the arbitration.

Exceptions to Arbitration: Despite the above, either party has the right to seek relief in small claims court for disputes or claims within that court's jurisdiction. Additionally, either you or Early may seek injunctive relief or other equitable remedies in a court of competent jurisdiction to prevent (or enjoin) the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, or to address an unauthorized access or use of the platform.

Opt-Out Right: If you do not wish to be bound by this arbitration agreement and class-action waiver, you have the right to opt out. To do so, you must send us written notice of your decision to opt out within 30 days of first accepting these Terms (for example, the first time you use Early after these Terms have gone into effect). The notice should clearly state your intent to opt out of the arbitration agreement and can be sent to us via email (contact information is provided below in Section 15). If you opt out of this arbitration agreement, then any subsequent dispute will be resolved in court as set forth below.
If for any reason the arbitration agreement is found to be unenforceable or if you validly opt out of arbitration, you and Early agree that any dispute arising out of these Terms or your use of Early shall instead be resolved exclusively by the courts in the United States, and each party consents to the personal jurisdiction of those courts. In such a case, you also agree to waive any right to a jury trial, and any proceeding will be conducted only on an individual basis (not as a class action).
14. Miscellaneous

Entire Agreement: These Terms (along with any other policies or guidelines we post on the Early website, such as our Privacy Policy and Content Guidelines) constitute the entire agreement between you and Early regarding your use of the platform. They replace any prior agreements, understandings, or communications (whether oral or written) about your use of Early.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. In other words, the invalid part will be cut out or narrowed, and the rest of the Terms will still apply.

No Waiver: If we do not enforce any part of these Terms, it does not mean we give up the right to enforce it later. Our failure to insist on strict performance of any provision of these Terms or to exercise any right or remedy shall not be interpreted as a waiver of any such provision or right. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Early.

No Agency Relationship: These Terms do not create any partnership, joint venture, employment, agency, or fiduciary relationship between you and Early. Both you and we are independent contractors. Using Early does not make you an employee, agent, or representative of Early, and you cannot represent that you have any authority to bind Early in any way.

Assignment: You may not assign or transfer any rights or obligations under these Terms to anyone else without our prior written consent. Any attempt by you to assign without permission is void. Early may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. In such cases, these Terms will continue to apply to your use of the platform.

Force Majeure: Early will not be liable for any delay or failure to perform as required by these Terms if such delay or failure is caused by circumstances beyond our reasonable control. This includes events such as acts of God, natural disasters, war, acts of terrorism, civil disturbances, governmental actions, power or internet outages, blockchain network congestion or failures, and other similar events not caused by our direct action.

Language: These Terms are written in English. If we provide translations of these Terms into any other language, those are provided for convenience only. In the event of any conflict or inconsistency between the English version and a translated version, the English version will prevail.
